Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Keen Profits Events ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Keen Profits Events provides professional event planning and management services including but not limited to:

  • Corporate event planning and coordination
  • Wedding planning and management
  • Private party and celebration planning
  • Venue selection and management
  • Vendor coordination and management
  • Event design and styling services

3. Service Agreement

3.1 Contract Formation

A binding contract is formed when both parties sign a written service agreement detailing the specific services, timeline, and fees for your event.

3.2 Scope of Services

The specific services to be provided will be outlined in your individual service agreement. Any changes to the scope of services must be agreed to in writing.

4. Payment Terms

4.1 Fees and Payment Schedule

All fees and payment schedules will be specified in your service agreement. Generally:

  • A non-refundable deposit is required to secure our services
  • Payments are typically structured in installments based on project milestones
  • Final payment is due before the event date

4.2 Additional Costs

Clients are responsible for all vendor payments, venue fees, and other direct event costs unless specifically included in our service agreement.

4.3 Late Payments

Late payments may result in suspension of services and may incur additional fees as specified in your service agreement.

5. Client Responsibilities

Clients agree to:

  • Provide accurate and timely information necessary for event planning
  • Make timely decisions when requested
  • Ensure timely payment of all fees
  • Obtain all necessary permits and licenses
  • Provide access to venues and vendors as needed
  • Communicate any changes or concerns promptly

6. Cancellation and Refund Policy

6.1 Client Cancellation

If you cancel our services:

  • More than 120 days before the event: 50% of fees paid are refundable
  • 60-120 days before the event: 25% of fees paid are refundable
  • Less than 60 days before the event: No refund available
  • Deposits are non-refundable in all circumstances

6.2 Company Cancellation

We reserve the right to cancel services for non-payment, breach of contract, or other reasonable causes with appropriate notice.

7. Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, government restrictions, pandemic-related restrictions, or other acts of God.

8. Limitation of Liability

Our liability is limited to the total amount of fees paid for our services. We are not liable for:

  • Vendor performance or failure to perform
  • Venue-related issues beyond our control
  • Weather-related problems
  • Guest behavior or attendance issues
  • Consequential or indirect damages

9. Intellectual Property

All event designs, concepts, and planning materials created by Keen Profits Events remain our intellectual property unless specifically transferred in writing.

10. Photography and Publicity

We may photograph events for marketing purposes unless specifically prohibited in writing. Clients grant us the right to use event images and testimonials for promotional purposes.

11. Confidentiality

We agree to maintain the confidentiality of all client information and event details, except as necessary to provide our services or as required by law.

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

  • Good faith negotiation between the parties
  • Mediation if negotiation fails
  • Arbitration or legal proceedings in London, UK if mediation fails

13. Governing Law

These Terms are governed by the laws of England and Wales. Any legal proceedings shall be conducted in the courts of London, United Kingdom.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to existing clients. Continued use of our services constitutes acceptance of modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
